CareSync Staffing Service Agreement
Effective Date: February 17, 2026
Parties: This Digital Service Agreement (the “Agreement”) is between CareSync, LLC (“CareSync”) and the independent contractor who later registers for a CareSync account (the “Contractor”). By registering for and using CareSync’s online subscription staffing platform (“Platform”), the Facility agrees to be bound by the terms and conditions set forth herein.
1. Relationship of the Parties
- The Contractor is an independent contractor, not a CareSync employee, and is not entitled to employee benefits.
- CareSync may assign, modify, reassign, or end assignments at its discretion, with or without notice.
- The Contractor acknowledges CareSync’s exclusive role in providing staffing services to clients and agrees to operate within CareSync’s direction while on assignment.
2. Assignment Terms
- Assignments must be accepted only through CareSync’s platform or another method CareSync designates in writing.
- Acceptance of an assignment is a binding commitment to complete the scheduled shift(s) in full.
- The Contractor must not accept assignments if unavailable for any portion of the scheduled shift(s), including due to personal commitments, other work, or planned leave.
- Client facilities may adjust shift times, duties, or placement at their discretion. Compensation remains the agreed hourly rate for hours worked unless otherwise authorized in writing.
- Failure to fulfill an accepted assignment without a documented emergency or CareSync’s prior written approval constitutes a material breach and may result in removal from the platform, termination of future opportunities, and/or assessment of damages.
3. Professional Responsibilities
The Contractor must:
- Maintain all required credentials, licenses, and certifications.
- Follow all client facility rules, policies, and procedures.
- Promptly report to CareSync any unsafe conditions, scope-of-practice issues, or incidents affecting patient safety.
- Clock in/out using CareSync’s designated method (e.g., app with location tracking) when required.
Noncompliance may result in immediate suspension or termination of active status.
4. Confidentiality, Non‑Solicitation, and Non‑Disclosure
4.1 Confidentiality
- The Contractor must keep confidential all patient, client, and CareSync business information during and after this Agreement. Any breach may result in termination and legal action.
4.2 Non‑Solicitation (12 Months)
For twelve (12) months after the last date Contractor performs services for CareSync, Contractor shall not, directly or indirectly:
- Solicit, induce, or encourage any CareSync client, customer, or prospect to discontinue, reduce, or modify its relationship with CareSync;
- Solicit, recruit, or induce any CareSync employee, contractor, or consultant to leave CareSync; or
- Provide competing services to any CareSync client (directly or via another staffing agency) without CareSync’s prior written consent.
A violation triggers liquidated damages equal to 30% of the annualized compensation or contract value tied to the breach, to the extent permitted under Maryland law.
4.3 Non‑Disclosure
- Contractor may access confidential information, including business strategies, client lists, pricing, staffing methods, technical data, marketing plans, trade secrets, PHI, and other proprietary information.
- Contractor agrees (a) not to disclose such information without CareSync’s written consent; (b) not to use it for any purpose other than performing assignments; and (c) to return or destroy it upon request or termination.
- NDA obligations survive indefinitely and are enforceable to the maximum extent permitted under Maryland law. Breach entitles CareSync to injunctive relief, damages, and attorney’s fees.
5. Pay & Cancellations
- The pay rate for each assignment will be set by CareSync and disclosed before acceptance.
- Overtime is payable only if pre‑approved in writing by CareSync and the client.
- Per‑Diem Minimum: If a client cancels a confirmed shift within 48 hours of the start time, CareSync will pay a minimum of four (4) hours. No other cancellation compensation applies.
6. Job Board & Direct‑Hire Opportunities
- Contractor may use CareSync’s job board as provided from time to time. Where permitted, direct‑hire opportunities are subject to CareSync’s written terms and any client‑specific conditions. Restrictions in Section 4.2 (Non‑Solicitation) apply.
7. Compliance & Conduct
- Contractor must comply with all applicable laws, licensing requirements, facility rules, and CareSync policies.
- Zero tolerance for drugs, alcohol, or impairment while on assignment.
- CareSync may require background checks, drug tests, or credential updates at any time; where required by the client, Contractor may be responsible for related costs.
8. Termination; No Guarantees
- CareSync may terminate this Agreement or remove Contractor from assignments at any time, with or without cause or notice.
- Contractor acknowledges there is no guarantee of minimum hours, future assignments, or continued engagement.
9. Indemnification
Contractor shall indemnify, defend, and hold harmless CareSync, its officers, affiliates, and clients from all claims, damages, costs, losses, liabilities, and expenses (including reasonable attorney’s fees) arising out of: (a) Contractor’s acts, omissions, negligence, or misconduct; (b) any breach of this Agreement; or (c) any third‑party claim related to Contractor’s work. This obligation survives termination.
10. Dispute Resolution; Governing Law & Venue
- Arbitration: All disputes will be resolved by binding arbitration in Maryland under the rules of the American Arbitration Association. Contractor waives participation in any class or collective action against CareSync.
- Governing Law & Venue: This Agreement is governed by the laws of the State of Maryland. Exclusive venue for any action or arbitration related to this Agreement is in Montgomery County, Maryland. The parties agree Maryland law governs the interpretation and enforcement of the restrictive covenants herein, regardless of Contractor’s residence or work location.
11. Digital Acceptance & Electronic Records
- When acceptance occurs: Contractor accepts this Agreement during account registration by checking the required box and completing registration. This static page is for review; it is not a fillable form.
- ESIGN/UETA Consent: By registering and checking the required box, Contractor consents to conduct business electronically and agrees that electronic acceptance has the same legal effect as a handwritten signature.
- Recordkeeping: CareSync may record acceptance details (e.g., name, date/time, IP, device/browser) and will retain an electronic copy of this Agreement for evidentiary purposes. A current version will remain available on CareSync’s website; a copy may be emailed upon request, and a paper copy is available at no additional cost.
12. Entire Agreement; Updates
CareSync may update non‑material operational terms (e.g., procedures) with at least 30 days’ advance written notice (email or secure portal). Material terms (e.g., compensation, restrictive covenants) require a mutually executed written amendment.
This Agreement is the entire agreement between the parties on its subject matter and supersedes prior understandings.
